Terms of Service
Effective August 18, 2026
These Terms are a binding agreement between you and Mimzie, Inc. ("Mimzie," "we," "us") governing your use of mimzie.com and the Mimzie academic workspace (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use it.
1. The Service
Mimzie is an AI workspace for academic writing and research. It lets you organize folders, chat with a writing agent, create and revise documents, upload source files, find research, manage citations, and export work.
The Service will change over time. We may add, remove, or limit features, models, plans, or usage allowances. We will give reasonable notice when a change materially affects a paid subscription.
2. Eligibility and accounts
You must be at least 13 to use Mimzie. If you are a minor where you live, a parent or guardian must approve your use and these Terms. You must provide accurate account information, protect your login, and tell us promptly about unauthorized access. You are responsible for activity under your account.
3. Your content
You keep ownership of the documents, files, messages, and other content you submit to Mimzie. You give us a limited, worldwide license to host, copy, process, transmit, and display that content only as needed to operate, secure, and support the Service or follow your instructions. This license ends when the content is deleted, except for temporary backups and records we must retain by law.
You confirm that you have the rights needed to submit your content and let us process it. You are responsible for the content you submit and the work you publish or turn in.
If you send feedback, you allow us to use it without restriction or payment, but we will not identify you publicly without permission.
4. AI output, research, and academic integrity
AI output can be inaccurate, incomplete, outdated, or misleading. Citations can be wrong. You must review the final work, verify claims against original sources, and make your own academic judgments. Mimzie is not a substitute for professional, legal, medical, or financial advice.
You are responsible for following your institution's rules on AI assistance, attribution, plagiarism, and original work. Mimzie does not guarantee that output will satisfy an assignment, grading rubric, or academic-integrity policy.
Research results and linked materials may come from third parties. We do not control or endorse third-party content, and separate terms may apply to it.
5. Acceptable use
You may not use the Service to:
- break the law, infringe rights, deceive others, harass people, or facilitate harm;
- upload malware or interfere with the security, availability, or operation of the Service;
- access another person's account or data without permission;
- scrape, resell, reverse engineer, or systematically extract the Service except where law permits;
- bypass usage limits, access controls, or safety measures;
- use automated access not provided or approved by Mimzie; or
- submit content you do not have permission to use.
Mimzie is not designed for protected health information, government identification numbers, financial account credentials, or confidential third-party information. The Service is not HIPAA compliant. Do not submit this information.
6. Plans, billing, and usage limits
Some features require a paid plan. Prices, billing periods, taxes, and included usage are shown at checkout. Paid subscriptions renew automatically until canceled. You authorize Stripe and Mimzie to charge the payment method on file at each renewal.
You can manage or cancel a subscription through the billing portal. Cancellation takes effect at the end of the current billing period. Fees are nonrefundable except where required by law or stated otherwise at purchase.
Plans may include limits on AI usage, imports, storage, or other features. Usage is measured from provider-reported costs and other metered activity. If you reach a limit, a feature may pause until the allowance resets or you change plans. We may change future prices or allowances with notice; changes will not shorten a billing period you already paid for.
7. Mimzie's rights
Mimzie and its licensors own the Service, software, design, trademarks, and other materials we provide, excluding your content and third-party materials. These Terms give you a personal, revocable, nonexclusive, nontransferable right to use the Service. They do not transfer our intellectual property to you.
8. Privacy and providers
Our Privacy Policy explains how we handle information. The Service depends on third-party providers for hosting, authentication, payments, AI, research, analytics, and monitoring. Their availability and terms can affect the Service.
9. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or harm, fail to pay, or if we must do so for legal or security reasons. When practical, we will give notice and a chance to fix the issue.
After termination, your right to use the Service ends. Sections that logically need to survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms, remain in effect.
10. Service availability and disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, MIMZIE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT GUARANTEE THAT THE SERVICE OR ANY AI OUTPUT, CITATION, SOURCE, EXPORT, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, SECURE, AVAILABLE, OR ERROR FREE.
Some jurisdictions do not allow certain disclaimers, so some of this section may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, MIMZIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS.
MIMZIE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MIMZIE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limits do not apply where the law prohibits them.
12. Indemnity
To the extent the law allows, you will defend and indemnify Mimzie and its officers, directors, employees, and agents from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your content, your infringement of another person's rights, or your material breach of these Terms. We will give you reasonable notice of a covered claim and may control its defense.
13. Disputes and governing law
Delaware law governs these Terms, without regard to conflict-of-law rules.
Before filing a claim, you and Mimzie agree to send written notice describing the dispute and try in good faith to resolve it for 30 days. Notices to Mimzie must be sent to info@mimzie.com.
If the dispute is not resolved, it will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may take place by video, phone, written submissions, or in person as the rules allow. The AAA rules govern fees and costs.
You and Mimzie waive the right to a jury trial and to participate in a class, collective, or representative action. Claims may be brought only on an individual basis.
Either party may bring an eligible claim in small-claims court or seek court relief for intellectual property infringement, unauthorized access, privacy violations, or urgent injunctive relief. If a claim proceeds in court, the state and federal courts in Delaware have exclusive jurisdiction. If part of this section is unenforceable, the rest remains effective to the fullest extent allowed.
14. Changes to these Terms
We may update these Terms as the Service changes. We will post the new effective date and provide additional notice before a material change takes effect when required by law. Continued use after the effective date means you accept the updated Terms.
15. General terms
These Terms and the Privacy Policy are the entire agreement between you and Mimzie about the Service. If one provision is unenforceable, the rest remain effective. A delay in enforcing a right is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a merger, reorganization, financing, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
Electronic notices and agreements satisfy written-notice requirements where the law allows.
